In short

  • You sign in, share a Data Card and a sample of files from your archive, and we reply by email.
  • Sharing does not oblige either side, and a written agreement comes before any transfer of your full records.
  • You keep your records, and you confirm that you have the right to share what you send.

01Who we are and what these terms cover

These terms are an agreement between you and General Data Labs, Inc., a Delaware corporation (“General Data Labs,” “we” or “us”). They cover the Data Partnerships portal at partner.generaldatalabs.com, the browser extension that goes with it, and the email we send through them (together, the “Service”).

The Service lets a company measure an archive of files in its own browser, review a Data Card of totals and a sample of files, and send both to us.

These terms work together with our Privacy notice and our Extension privacy notice. If a written agreement between you and us conflicts with these terms, the agreement controls for the records it covers.

02Accepting these terms

Signing in or using the Service means you accept these terms. If you act for a company, you are telling us that you may commit it to them, and “you” then covers the company as well as yourself.

You must be 18 or older to use the Service, and you may use it only if you accept these terms.

03Your account

You sign in with Google or with a code that we email to you. Give us accurate information, keep your email account secure and tell us at once if you think someone else has used your sign in. You are responsible for what happens under your account.

Each account belongs to one company, and whoever signs in to it can see and send archives for that company.

We may suspend or close an account that breaks these terms, puts the Service at risk or has been idle for a long time. We will tell you why unless the law or security prevents it.

04What you share

You choose the folder. Your browser measures the archive on your computer and builds the Data Card from the totals, and the portal picks a sample of the files from all of your folders. An assistant suggests a description from folder names, and you can change it. You review the card and the sample, you can remove any file from the sample, and you decide whether to send them.

What you tell us must be true to the best of your knowledge. Figures in the card are measured by your browser or entered by you, and each one is marked that way. Some come from a time limited read of the archive, and the card says how many files each one covers.

Sharing a card and a sample does not guarantee that we will take your archive further.

05What you promise about your files

When you send files, you confirm that:

  • you own them or have the right to share them with us
  • the people named in them have had the notices and given the consents that the law requires
  • sending them does not break a contract, the terms of a platform or a law
  • what you told us about them is accurate

Do not send health records, payment card numbers, financial account details, biometric data or information about children unless a written agreement between you and us expressly covers them. Tell us promptly if something you told us changes.

06A written agreement before any transfer

A separate written agreement between you and us governs any transfer of your full records, what is included, how the records are prepared and what we may do with them.

Apart from the Data Card and the sample you send, no record leaves your company until you and we have agreed that in writing. Until then you keep every right in your records, and nothing in these terms gives us a right to use them beyond what the next section describes.

You may decline for any reason.

07What we do with what you send

Before our staff can open a sample file, it is checked for malware and its real type. A file that carries malware or is a program or a script is deleted. Any other file that fails a check stays closed to our staff. We show you which file failed and why. Our staff then review the card and the sample and reply to you by email.

We do not share your card or your files outside General Data Labs and our service providers without your approval, and we require our service providers to keep them confidential. The Privacy notice explains this in detail.

You can ask us to delete an archive and its files at any time by writing to us. We confirm when it is done.

08The browser extension

The extension is optional. It reads counts and storage totals from the software tools you choose, in your own browser session, so you do not have to type them, and you can stop it at any time.

You choose each tool and grant access to its site. You are responsible for having the right to use the extension with that tool and for following the tool's own terms. Some tools restrict automated access, and a tool may limit or close an account that uses it.

Readings are saved to your company only after you review them. The Extension privacy notice describes what the extension reads, where it goes and how to stop it.

09Acceptable use

Do not do any of the following:

  • break the law or another person's rights
  • send files you have no right to send
  • upload malware or interfere with the Service or with other people's use of it
  • test the security of the Service without our written permission
  • copy, scrape or reverse engineer the Service
  • use another person's account

10Ownership

The Service, its software, design and text belong to General Data Labs or its suppliers. These terms let you use the Service for the purpose it was built for, and for nothing else.

You keep ownership of your files and your company information. You give us the right to use what you send through the Service for the purposes in these terms and in the Privacy notice.

11Disclaimers

We provide the Service as it is, when it is available. Where the law permits, we make no promise that it will run without interruption or error, that every figure will prove accurate or that we will take your archive further.

We do not give legal, tax or financial advice. Ask your own advisers about your records and your rights in them.

12Limits on liability

Where the law permits, neither of us owes the other anything for indirect, special or consequential losses, lost profits or lost data that arise from these terms or the Service.

Nothing in these terms limits liability for fraud, willful misconduct or anything else that the law does not allow to be limited.

13Ending your use

You can stop using the Service at any time and ask us to close your account by writing to us. We may suspend or close it as described above. Closing an account does not end a written agreement between you and us, which continues under its own terms.

After an account closes, we delete or anonymize your information as the Privacy notice describes, except what we must keep for legal, tax or accounting reasons or for an agreement that is still in force.

The sections on your promises, ownership, disclaimers, liability and governing law continue after an account closes.

14Changes to these terms

We may update these terms. Each version has a number and a date at the top of this page. If a change matters, we will tell you by email or in the portal before it applies and, where the law requires, ask you to accept it again. If you keep using the Service after a change takes effect, you accept it.

15Governing law and disputes

Delaware law governs these terms, without regard to its rules on conflicts of law. If a dispute arises, write to us first and give us a reasonable chance to resolve it. If it is not resolved, the state and federal courts located in Delaware have exclusive jurisdiction, and you and we consent to it.

16General

These terms, with the documents they refer to, are the whole agreement about the Service. If a part of them cannot be enforced, the rest stays in force. You may not transfer your rights under these terms without our consent. We may transfer ours as part of a merger, an acquisition or a sale of assets, and we will tell you. Not enforcing a right now does not waive it later. We may send notices to the email address you signed in with.
